Terms of Service

1. About These Terms

These Terms of Service (“Terms”) govern your access to and use of TPT Real Estate (“the Service”), operated by TPT Solutions Ltd (“we”, “us”, “our”), a company incorporated in New Zealand. By creating an account or using the Service, you agree to be bound by these Terms. These Terms apply to all users, including agents, vendors, buyers, investors, and property managers.

2. The Service

TPT Real Estate is a property listing and CRM platform that enables real estate agents to list properties and connect with buyers, tenants, and investors. We provide the platform technology; we do not act as a real estate agent and are not a party to any property transaction or tenancy agreement. We may update, modify or discontinue features at any time. We will give reasonable notice of material changes where practical.

3. Accounts and Access

• Agent accounts require a valid REINZ licence number. You must keep your licence information current.
• You must be at least 18 years old to create an account.
• You are responsible for keeping your login credentials secure. You are liable for all activity under your account.
• You must provide accurate, current information when registering and keep it up to date.
• We may suspend or terminate accounts that violate these Terms, at our discretion.

4. Agent Obligations

• Agents must ensure all listing information is accurate, complete, and not misleading.
• Agents must comply with all applicable real estate laws and regulations, including the Real Estate Agents Act 2008 (NZ) and REINZ rules.
• Agents must have the vendor's authority to list a property before publishing it on the platform.
• Agents are responsible for handling enquiries and maintaining appropriate communication with potential buyers and tenants.

5. Listing Content

You retain ownership of all listing content you upload, including descriptions, photos, and property data. By listing on TPT Real Estate, you grant us a licence to display your content on the platform and in search results. You warrant that you have the right to upload all content you provide and that it does not infringe any third-party intellectual property rights.

6. Acceptable Use

You agree not to:

• Post false, inaccurate, or misleading listings or information.
• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Scrape, copy or redistribute listing data without our written permission.
• Engage in any discriminatory conduct prohibited by applicable law.

7. Subscriptions and Fees

• Access to agent features requires a paid subscription at the rates displayed on the pricing page.
• Subscriptions are billed monthly in advance. All fees are exclusive of applicable taxes (GST, VAT, etc.).
• You may cancel at any time. Cancellation takes effect at the end of your current billing period.
• We reserve the right to change subscription pricing with 30 days' notice.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind. Property valuations, investment yield calculations, and market data are indicative only and do not constitute professional advice. You should obtain independent legal, financial, and property advice before entering into any property transaction.

9. Limitation of Liability

To the maximum extent permitted by law, TPT Solutions Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Service, including any reliance on listing information or property data. Our total liability to you in any 12-month period shall not exceed the total fees you paid to us in that period.

Nothing in these Terms limits liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law.

10. Termination

Either party may terminate the agreement at any time. You may cancel via your account settings. We may suspend or terminate your access immediately if you breach these Terms. Active listings will be removed upon account termination.

11. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts, unless otherwise required by mandatory consumer protection laws in your jurisdiction.
